YOU MUST READ AND AGREE TO THESE TERMS, INCLUDING THE PRIVACY POLICY, BEFORE USING THE BITRABO.COM WEBSITE (the "Site"), THE BITRABO APPLICATION, OR ANY SOFTWARE, TOOLS, APPLICATIONS, FEATURES OR FUNCTIONALITY AVAILABLE ON OR THROUGH THE SITE OR APPLICATION (COLLECTIVELY, THE "SERVICE"). BY USING THE SERVICE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

IMPORTANT: These Terms cover a self-custody, non-custodial cryptocurrency wallet, decentralized finance (DeFi) tools, perpetual futures trading, and a Web3 community platform. Please read the sections on "Non-Custodial Nature of the Service," "Risks," and "Disclaimer of Warranties" with particular care. WE DO NOT PROVIDE FINANCIAL, TAX, INVESTMENT, OR LEGAL ADVICE. WE DO NOT EXCHANGE, SEND, OR RECEIVE CRYPTO ASSETS ON BEHALF OF USERS. ALL CRYPTOCURRENCY TRANSACTION DECISIONS ARE MADE SOLELY AND INDEPENDENTLY BY YOU.

1. Scope of Agreement

These Terms apply to the Bitrabo application ("Bitrabo App") and all associated services, which include:

• A self-custody, non-custodial multi-chain cryptocurrency wallet

• Decentralized exchange (DEX) aggregation and cross-chain swap functionality

• Decentralized Finance (DeFi) tools including staking, lending, and yield access

• Perpetual futures (Perps) trading powered by the Hyperliquid decentralized protocol

• A Web3 community platform (app.bitrabo.com) where registered users may create accounts, post content, and engage with other community members

• Market data, portfolio tracking, and crypto analytics tools

• Browser extension and desktop application interfaces

By downloading the Bitrabo App and beginning to create or import a wallet, you are deemed to have read and accepted these Terms in full, making this Agreement immediately effective and legally binding. Bitrabo may amend these Terms from time to time. Changes will be notified through in-app announcements or other reasonable means. Your continued use of Bitrabo following any amendments constitutes your acceptance of the revised Terms.

2. Definitions

Wallet: A blockchain address derived from a pair of your Public Key and Private Key, used to hold and manage your Digital Assets.

Digital Assets: Types of digital assets transmittable via blockchain technologies, including cryptocurrencies, tokens, and non-fungible tokens (NFTs).

Private Key: A 256-bit cryptographic key that forms the core of your ownership and control over your Digital Assets. You are solely responsible for securing your Private Key.

Public Key: A cryptographic value derived from your Private Key, used to authorize outgoing blockchain transactions.

Recovery Phrase: A sequence of 12, 15, 18, 21, or 24 words randomly generated based on the BIP39 industry standard, representing a human-readable backup of your Private Key.

Wallet PIN Code: A password set by you when creating your wallet, used to encrypt and protect your Private Key. Bitrabo does not store your Wallet PIN Code on its servers or any device.

Keystore: Your Private Key or Recovery Phrase in encrypted file format, stored solely on your device and never synchronized to Bitrabo's servers.

DeFi / Decentralized Finance: Financial tools and protocols built on blockchain networks that operate without centralized intermediaries, including swaps, staking, lending, liquidity provision, and yield farming.

Perps / Perpetual Futures: Perpetual futures contracts accessible through the Bitrabo App, powered by the Hyperliquid decentralized protocol.

Community Platform: The Bitrabo Web3 community accessible at app.bitrabo.com, where registered users may create accounts, post content, and interact with other community members.

Smart Contract: A self-executing program on a blockchain that automatically enforces and executes terms when predefined conditions are met.

Third-Party Service: Products and services provided by third parties, including decentralized applications (DApps), smart contracts, hardware wallets, external exchanges, on-ramp/off-ramp providers, and data providers.

Excluded Person: Any individual or entity subject to international sanctions, including those designated by the United Nations Security Council, European Union, OFAC, or equivalent regulatory bodies, or associated with terrorism, financing of weapons of mass destruction, or other prohibited activities.

3. Non-Custodial Nature of the Service

Bitrabo is a non-custodial service. This is the most important thing to understand about how Bitrabo works.

Bitrabo does NOT:

• Store, hold, or have access to your Digital Assets

• Store or have access to your Private Key, Recovery Phrase, Wallet PIN Code, Passphrase, or Keystore

• Have the ability to freeze, recover, or reverse your wallet or any transaction

• Send, receive, or exchange Digital Assets on your behalf

• Provide custody, safekeeping, or insurance of any Digital Assets

You are solely responsible for:

• Securing and backing up your Private Key, Recovery Phrase, Wallet PIN Code, and Keystore in a safe offline location

• All transactions initiated from your wallet

• The security of the device on which the Bitrabo App is installed

• Verifying all transaction details, addresses, amounts, and networks before signing

• Optional Cloud Backup: If you enable the optional cloud backup feature, an encrypted Keystore may be stored in your personal iCloud (iOS) or Google Drive (Android) account. This backup is encrypted with your Wallet PIN Code before leaving your device. Bitrabo does not control or have access to your personal cloud storage account or the backed-up data. You are solely responsible for the security of your cloud account credentials. Loss of access to your cloud account does not affect Bitrabo's inability to recover your wallet.

If you lose your Recovery Phrase, Private Key, or Wallet PIN Code, Bitrabo cannot assist you in recovering access to your wallet or your Digital Assets. There is no recovery mechanism. Loss of these credentials means permanent, irreversible loss of access to your funds.

4. Website Content

The content on our website is for informational purposes only and should not be construed as financial or investment advice. We do not guarantee the accuracy, completeness, or timeliness of any information on our website. You acknowledge and agree that you use our website and any information or products at your own risk.

5. Ownership and Use of Content

All content on our website and application, including but not limited to text, graphics, logos, and images, is the property of Bitrabo or our licensors and is protected by intellectual property laws. You may not use, reproduce, modify, or distribute any content from our website or application without our express written consent.

6. Bitrabo Services

6.1. Wallet Creation and Import: You may use the Bitrabo App to create a new wallet or import an existing wallet generated by another compatible application. You may manage multiple wallets across multiple blockchain networks from a single interface.

6.2. Transfer and Receipt of Digital Assets: You may use Bitrabo to send and receive Digital Assets. All transfers are executed by signing transactions with your Private Key and broadcasting them to the relevant blockchain network. Bitrabo does not hold or transmit your funds; it only facilitates the signing and broadcasting process. Blockchain transactions are irreversible. Once you sign and broadcast a transaction, it cannot be cancelled, modified, or reversed by Bitrabo or any other party. You are solely responsible for all errors in transactions you initiate, including sending to incorrect addresses, sending incorrect amounts, or selecting incorrect networks.

6.3. Multi-Chain Swaps and Cross-Chain Bridge: Bitrabo provides access to decentralized swap and bridge functionality across 100+ blockchain networks, powered by third-party aggregators and protocols. Swap rates, liquidity, and execution are determined by third-party smart contracts and prevailing market conditions. Bitrabo does not guarantee any particular exchange rate, price, or execution speed.

6.4. DeFi Tools — Staking, Lending, and Yield: Bitrabo provides access to decentralized staking, lending, and yield protocols. All interactions are directly with third-party smart contracts. Bitrabo does not operate, control, or guarantee any DeFi protocol and accepts no responsibility for losses arising from smart contract bugs, protocol failures, impermanent loss, liquidations, or changes in market conditions.

6.5. Perpetual Futures Trading (Perps): The Bitrabo App provides access to perpetual futures (Perps) trading through an integration with the Hyperliquid decentralized protocol. By using the Perps feature, you acknowledge and agree that:

• All trading is conducted on a decentralized protocol not operated or controlled by Bitrabo

• Perpetual futures trading involves significant risk of loss, including loss of your entire deposited amount

• Leverage amplifies both potential gains and potential losses; positions may be liquidated automatically when margin requirements are not met

• Bitrabo does not act as a counterparty to any Perps trade and does not provide financial advice, trading recommendations, or risk management guidance in connection with Perps

• You are solely responsible for all trading decisions, position sizing, leverage selection, and risk management

6.6. Market Data and Portfolio Tracking: Bitrabo displays market data, asset prices, and portfolio valuations sourced from third-party data providers. This data is for informational purposes only. Bitrabo does not guarantee the accuracy, timeliness, or completeness of any market data.

6.7. DApp Browser and Web3 Connectivity: Bitrabo includes a DApp browser that allows you to interact with decentralized applications. Bitrabo does not endorse, verify, audit, or guarantee the security or legitimacy of any DApp accessible through this feature. You access and interact with third-party DApps entirely at your own risk.

6.8. Web3 Community Platform: Bitrabo operates a Web3 community platform (app.bitrabo.com) where users may register accounts, create profiles, post content, participate in discussions, and access community features. Unlike the wallet component, the Community Platform requires personal registration information (including name and email address). Your use of the Community Platform is also subject to Bitrabo's Privacy Policy.

6.9. Hardware Wallet Support: Bitrabo supports connection to compatible third-party hardware wallets. Bitrabo does not manufacture or distribute any hardware wallet device and makes no guarantees regarding compatibility, security, or performance of any third-party hardware wallet.

6.10. Transaction Fees: All blockchain transactions require payment of network fees ("gas") to the relevant blockchain network. These fees are not collected by Bitrabo. You are solely responsible for all network fees. In cases of failed transactions, network fees may still be consumed by the blockchain network.

7. Third-Party Services

The Bitrabo App integrates with or provides access to various third-party services and protocols. With respect to all Third-Party Services, you acknowledge and agree that:

• Bitrabo does not control, operate, audit, endorse, or guarantee any Third-Party Service

• Bitrabo is not responsible for the security, reliability, availability, or accuracy of any Third-Party Service

• Smart contracts underlying Third-Party Services may contain bugs, vulnerabilities, or be subject to exploits resulting in total loss of your Digital Assets

• Third-Party Services may be subject to regulatory restrictions or may cease to operate without notice

• Any transaction or interaction with a Third-Party Service is solely between you and that third party, not Bitrabo

• You are solely responsible for evaluating the risks of any Third-Party Service before using it

8. Risks

Cryptocurrency, DeFi, and perpetual futures trading involve significant risk. You should carefully evaluate whether your financial situation and risk tolerance are appropriate for these activities before using Bitrabo.

8.1. Market Risk: Digital Assets are highly volatile. Their value can increase or decrease rapidly, substantially, and without warning. You may lose some or all of the value of your Digital Assets.

8.2. Technology Risk: Blockchain networks, smart contracts, and related technologies are evolving. They may contain bugs, vulnerabilities, or be subject to unforeseen technical failures. Advances in technology, including the development of quantum computing, could compromise the security of cryptographic protocols underlying blockchain networks.

8.3. Regulatory Risk: The regulatory environment for Digital Assets varies by jurisdiction and is rapidly evolving. Changes in laws or regulations may restrict or prohibit certain uses of the Bitrabo App. You are responsible for ensuring your use of Bitrabo complies with all laws applicable in your jurisdiction.

8.4. Smart Contract Risk: Interactions with DeFi protocols, DEXs, bridge contracts, and perpetual futures protocols involve smart contracts. Smart contracts may contain vulnerabilities that could result in total loss of your Digital Assets. Bitrabo does not audit or guarantee the security of any third-party smart contract.

8.5. Perpetual Futures Risk: Perpetual futures trading carries extreme risk and is not suitable for all users. The use of leverage can result in losses that significantly exceed your initial deposit. You may lose your entire deposited amount within a very short period of time. Only engage in perpetual futures trading with funds you can afford to lose entirely.

8.6. Cybersecurity Risk: Hackers or other malicious actors may attempt to compromise the security of the Bitrabo App, your device, or your wallet through malware, phishing, social engineering, or other means. You are responsible for maintaining the security of your device and wallet credentials.

8.7. Network Risk: Blockchain networks are decentralized systems managed by independent third parties not controlled by Bitrabo. Transaction confirmation times, fees, and success are subject to network conditions outside Bitrabo's control.

8.8. Loss of Credentials: If you lose access to your Recovery Phrase, Private Key, or Wallet PIN Code, you will permanently lose access to your wallet and all Digital Assets held within it. Bitrabo cannot recover your credentials or your funds under any circumstances. This loss is absolute and irreversible.

8.9. Tax Risk: Transactions involving Digital Assets, including swaps, DeFi interactions, staking rewards, and gains from perpetual futures trading, may constitute taxable events under applicable tax law. Tax regulations vary by jurisdiction and may be ambiguous or subject to change. You are solely responsible for determining, declaring, and paying all applicable taxes.

9. User Conduct

You agree to use our website, application, and services in a lawful and respectful manner. You may not use our services for any illegal or fraudulent activity, or to harass, intimidate, or harm any other person. You may not impersonate any person or entity, or misrepresent your affiliation with any person or entity. You may not use our services to transmit any viruses or other harmful code.

10. Account Creation

To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information when creating your account and to update your information as necessary to maintain its accuracy. You are responsible for maintaining the confidentiality of your account information, including your username and password. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

11. User Representations and Warranties

By using the Bitrabo App, you represent and warrant that:

• You are at least 18 years of age, or at least 16 years of age for use of the Community Platform where permitted by local law

• You have full legal capacity to enter into and be bound by these Terms

• You are not subject to international sanctions and are not using Bitrabo on behalf of any sanctioned individual or entity

• Your use of Bitrabo complies with all applicable laws and regulations in your jurisdiction

• You understand and accept the risks associated with cryptocurrency, DeFi, and perpetual futures trading

• You are using your own funds and are not conducting transactions on behalf of another person without their explicit authorization

12. Termination

We reserve the right to terminate your access to our website, application, and services at any time, without notice or liability, if we believe you have violated these Terms or any applicable laws or regulations. Because Bitrabo is a non-custodial application, your wallet credentials are stored on your device. Termination of your access to the Bitrabo App does not affect your ownership of your Digital Assets or your ability to access your wallet through other compatible means.

13. Disclaimer of Warranties

Our website, application, and services are provided "as is" and without warranty of any kind, whether express, implied, or statutory. We do not warrant that our website or services will be uninterrupted, error-free, or free from viruses or other harmful code. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Bitrabo does not warrant the accuracy or completeness of any market data, DeFi protocol information, or third-party content displayed within the application.

14. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use of our website, application, or services, including but not limited to:

• Loss of profits, revenue, or data

• Loss of Digital Assets due to loss of Private Key, Recovery Phrase, Wallet PIN Code, or Keystore

• Losses arising from perpetual futures trading, including forced liquidations

• Losses from bugs, exploits, or failures in third-party smart contracts or DeFi protocols

• Losses arising from market volatility or depreciation in the value of any Digital Asset

• Losses from sending transactions to incorrect addresses or on incorrect networks

• Losses from government actions, regulatory changes, or force majeure events

• Any other damages arising out of or related to these Terms or your use of our services

To the fullest extent permitted by law, Bitrabo's total aggregate liability to you for any claims arising out of or relating to these Terms or the Bitrabo Services shall not exceed the greater of (a) the amount of fees paid by you to Bitrabo in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD $100).

15. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of or related to your use of our website, application, or services, your violation of these Terms, your violation of any applicable laws or regulations, any transaction you execute through the Bitrabo App, or any content you post on the Community Platform.

16. Use of Cryptocurrency Information

Bitrabo provides information and analysis related to various cryptocurrencies, including but not limited to Bitcoin, Ethereum, and BNB. While we strive to provide accurate and reliable information, we do not guarantee the completeness, accuracy, or reliability of any such information, and we disclaim any responsibility or liability for any consequences that may arise from its use.

Cryptocurrencies are known for their volatility and are subject to significant price fluctuations in short periods of time. By using our website or services to access cryptocurrency information, you agree to the following:

• 16.1. Non-reliance: You acknowledge and agree that any cryptocurrency information provided by Bitrabo is for informational purposes only, and should not be relied upon as financial, investment, or legal advice. You should always conduct your own research and seek professional advice before making any investment or financial decisions.

• 16.2. No endorsement: Bitrabo does not endorse, sponsor, or have any control over any cryptocurrencies or related products or services, and we disclaim any responsibility or liability for any consequences that may arise from their use.

• 16.3. No warranty: We do not guarantee the completeness, accuracy, or reliability of any cryptocurrency information provided by Bitrabo, and we disclaim any responsibility or liability for any errors, omissions, or inaccuracies in such information.

• 16.4. Limitation of liability: In no event shall Bitrabo be liable for any damages or losses, including but not limited to direct, indirect, incidental, consequential, or punitive damages, arising from or related to the use of cryptocurrency information provided by Bitrabo, whether based on contract, tort, strict liability, or any other legal theory.

17. Payment and Refund Terms

• 17.1. Payment: We may offer certain paid services or products through our website or application. Payment for such services or products will be processed through third-party payment processors. By making a payment, you represent and warrant that you have the legal right to use the payment method and that the information you provide is accurate and complete. We reserve the right to refuse or cancel any order at any time for any reason.

• 17.2. Refunds: We do not offer refunds for our paid services. If you are not satisfied with a paid service or product, please contact us HERE. Refunds will be issued at our sole discretion. In general, refunds will only be issued if the service or product is defective. We do not offer refunds for change of mind or for services or products that have already been delivered.

• 17.3. Network and Transaction Fees: All blockchain transactions require payment of network fees ("gas") to the relevant blockchain network. These fees are not collected by Bitrabo and are non-refundable regardless of whether the transaction succeeds or fails.

• 17.4. Third-Party Protocol Compensation: Bitrabo may receive compensation in connection with certain third-party protocol integrations as part of the normal operation of the Services. Such compensation does not affect the rates or terms available to you beyond what is disclosed within the relevant interface prior to any transaction.

• 17.5. Taxes: You are responsible for determining and paying any applicable taxes or duties associated with your use of our services or your cryptocurrency transactions. We will not be responsible for any taxes or duties and you agree to indemnify and hold us harmless from any claims or expenses arising out of your failure to pay such taxes.

• 17.6. Price Changes: We reserve the right to change the price of our paid services or products at any time, without notice or liability.

18. User-Generated Content

• 18.1. Posting Content: Our Community Platform allows you to post or submit content, including but not limited to comments, reviews, posts, and messages. By posting or submitting content, you represent and warrant that you have the legal right to do so and that the content does not infringe upon the intellectual property rights or privacy rights of any third party. You grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any content that you post or submit in connection with our website and services.

• 18.2. Monitoring Content: We do not monitor all user-generated content on our platform, but we reserve the right to do so. We may remove or delete any content that we determine in our sole discretion violates these Terms or any applicable law or regulation. We may also terminate or suspend your access for violating these Terms or for posting inappropriate content.

• 18.3. Responsibility for Content: You are solely responsible for any content that you post or submit. We do not endorse or guarantee the accuracy, completeness, or usefulness of any user-generated content. You agree to indemnify and hold us harmless from any claims or expenses arising out of or related to your content.

• 18.4. AI Features: The Bitrabo Community Platform may feature AI-powered tools, including automated content analysis, AI-generated market insights, and AI user accounts. Any AI-generated content is provided for informational purposes only and does not constitute financial, investment, or legal advice.

• 18.5. Prohibited Content: You agree not to post content that is illegal, defamatory, threatening, or harassing; that infringes any intellectual property rights; that promotes scams, phishing, or fraudulent projects; or that constitutes spam or unsolicited commercial communications.

19. Prohibited Activities

You agree that you will not use our website, application, or services for any of the following prohibited activities:

• 19.1. Violating laws and regulations: You will not use our services for any purpose that is prohibited by any applicable law or regulation, including but not limited to money laundering, terrorist financing, or sanctions violations.

• 19.2. Infringing on intellectual property rights: You will not use our services to infringe on the intellectual property rights of any third party.

• 19.3. Spamming: You will not use our services to send unsolicited commercial messages or spam.

• 19.4. Hacking and security: You will not attempt to gain unauthorized access to any computer systems or networks through our services, or engage in any activity that disrupts or interferes with the security or integrity of our services.

• 19.5. Misrepresenting yourself: You will not use our services to impersonate any person or entity, or misrepresent your affiliation with any person or entity.

• 19.6. Harvesting data: You will not use any software or technology to collect data from our services, including but not limited to data scraping, data mining, or data extraction, without our prior written consent.

• 19.7. Uploading malware: You will not upload or distribute any viruses, worms, or other harmful software through our services.

• 19.8. Interfering with other users: You will not interfere with or disrupt the use of our services by any other user.

• 19.9. Market manipulation: You will not engage in market manipulation on any protocol or exchange accessible through the Bitrabo App.

• 19.10. Unauthorized wallet access: You will not access or attempt to access another user's wallet or account without their explicit authorization.

• 19.11. Violating these Terms: You will not violate any of the terms and conditions set forth in this agreement.

We reserve the right to investigate and take appropriate legal action against anyone who violates these prohibited activities, including removing offending content, suspending or terminating user accounts, and reporting violations to law enforcement authorities.

20. Granting Access to Your Social Media Account

In order to provide you with the best possible service and experience, Bitrabo may request access to your social media accounts, subject to your explicit consent. If you choose to grant us access to your social media accounts, you agree to the following terms and conditions:

• 20.1. Grant of access: You grant Bitrabo permission to access and use the information and content available on your social media accounts, as necessary to provide you with the requested services.

• 20.2. Limited use: We will only use the information and content obtained from your social media accounts for the specific purposes for which you granted us access, and in accordance with our privacy policy and applicable laws and regulations.

• 20.3. Protection of confidential information: We will take appropriate measures to protect any confidential information obtained from your social media accounts.

• 20.4. Revocation of access: You have the right to revoke our access to your social media accounts at any time, by changing the access settings on the relevant social media platform or contacting us directly.

• 20.5. Disclaimer of liability: Bitrabo disclaims any responsibility or liability for any consequences that may arise from granting us access to your social media accounts, including but not limited to unauthorized access, data breaches, or other security incidents.

By granting us access to your social media accounts, you represent and warrant that you have the legal authority to do so. You also acknowledge that granting us access is entirely voluntary and that you may revoke such access at any time without affecting your use of our services.

21. Bitrabo Reward System

21.1. Overview: Bitrabo may, at its discretion, operate a user reward system ("Reward System") designed to incentivize user participation, content sharing, engagement, and other eligible activities across Bitrabo's app/web properties, including bitrabo.com and app.bitrabo.com.

21.2. Eligibility: Participation in the Reward System is open to all users who have registered an account with Bitrabo, subject to any additional eligibility requirements specified from time to time.

21.3. Earning Rewards: Users may earn points, tokens, or other forms of credit ("Rewards") by performing eligible actions such as reading content, sharing articles, completing learning modules, participating in discussions, or referring new users. The specific actions and corresponding Rewards shall be determined and communicated by Bitrabo.

21.4. Reward Use and Redemption: Rewards may be used to access premium content, unlock features, participate in exclusive promotions, or be converted into digital assets or tokens, subject to availability and applicable terms. Bitrabo reserves the right to set and modify the redemption process, minimum thresholds, and eligible uses of Rewards.

21.5. Expiry and Forfeiture: Bitrabo may establish expiration timelines for Rewards. Inactive accounts, violation of Terms, or suspected fraudulent activity may lead to forfeiture of earned Rewards without notice or compensation.

21.6. No Monetary Value: Unless explicitly stated otherwise, Rewards have no cash value and cannot be exchanged for fiat currency. They do not constitute legal tender or a financial product and may not be sold, transferred, or traded outside Bitrabo's approved channels.

21.7. Changes and Termination: Bitrabo reserves the right to modify, pause, or terminate the Reward System at any time without prior notice. Continued participation following changes constitutes acceptance of the revised terms.

21.8. Fraud and Abuse: Any attempt to manipulate, abuse, or fraudulently gain Rewards will result in suspension or termination of the user account and forfeiture of all Rewards. Bitrabo reserves the right to investigate and take action as deemed necessary.

22. Privacy

23. Age Restrictions

Our website and services are not intended for use by individuals under the age of 18. Use of the Community Platform is available to users aged 16 and above where permitted by local law. By using our website, application, and services, you represent and warrant that you meet the applicable age requirement.

24. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration under the DIFC-LCIA Arbitration Rules. The seat of arbitration shall be the Dubai International Financial Centre (DIFC), United Arab Emirates. The language of the arbitration shall be English.

Each party agrees that any such arbitration shall be conducted confidentially, and the decision of the arbitral tribunal shall be final and binding. Nothing in this clause prevents either party from seeking urgent injunctive or other interim relief from a court of competent jurisdiction.

We may update or modify these Terms at any time. Where practicable, we will notify you of material changes through in-app announcements or other reasonable means. Your continued use of our website, application, or services following any such updates constitutes your acceptance of the revised Terms.

These Terms, together with the Bitrabo Privacy Policy and any additional terms applicable to specific services, constitute the entire agreement between you and Bitrabo regarding your use of our website, application, and services, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Bitrabo.

27. Assignment

We may assign or transfer our rights and obligations under these Terms without your prior consent. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this clause shall be void.

28. Waiver

Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or our right to enforce that provision in the future.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.
