Evernorth Shares Face Selling Pressure Despite Ripple Backing

Ripple-backed Evernorth has taken a significant step by registering up to 73.7 million shares for potential resale, prompting concerns over future selling pressure on its stock. Notable investors mentioned in the SEC filing include Ripple Labs, Arrington XRP Capital, SBI Holdings, and a trust linked to Ripple co-founder Chris Larsen.

This registration encompasses an amount nearly three times the current outstanding Class A shares of the company. However, it should be noted that not all registered securities are readily available for sale. Key shareholders are bound by six-month lock-up agreements that generally restrict transfer activities until April 2027.

Major Investors Highlighted in SEC Filing

The SEC filing reveals several prominent investors who could potentially sell their registered shares, including some leading names in the XRP ecosystem. The Arrington XRP Capital Fund is the largest shareholder, with around 33.82 million shares. Ripple Labs holds approximately 18.14 million shares, while entities connected to Japan’s SBI Holdings account for a total of about 11.79 million shares. Additionally, the Larsen Lam Children’s Remainder Trust has registered roughly 7.15 million shares.

Other investors listed include Pantera Capital’s dat opportunities fund, Payward (the parent company of cryptocurrency exchange Kraken), GSR Markets Switzerland, and Japanese gaming company gumi.

Evernorth stated that the filing meets existing contractual obligations and does not imply immediate selling intentions from the investors. This announcement follows difficulties stemming from the company’s stock market debut, raising alarm about a potential influx of shares into the market.

Following its launch on Nasdaq with the ticker XRPN on October 12, shares initially peaked at $19.39 but later fell to a closing low of $11.70 by November 2, reflecting challenges in the company’s market performance.

Implications of Shareholder Lock-Up Agreements

While the share registration is substantial, many major shareholders are constrained by contractual agreements that limit their ability to sell. Ripple Labs, the Arrington-led sponsor, and the Larsen-affiliated investor are bound by six-month lock-up agreements, typically in effect until April 9, 2027, although some exceptions might apply.

Evernorth reported that approximately 7.04 million of its Class A shares are restricted under these agreements, which equates to 29.8% of the outstanding Class A stock as of the merger’s closure. The company clarified that the registration was primarily a compliance measure and should not be construed as an indication that the listed investors plan to sell their shares.

However, the potential for a significant number of shares to become available in the future could impact market sentiment. Evernorth explicitly noted in its risk disclosures that significant sales by shareholders—or even the anticipation of such sales—might negatively affect its stock price.

As Evernorth entered the public market with approximately 473 million XRP in its treasury, the company aims to enhance its digital asset holdings and increase the XRP amount allocated per share. The upcoming months will be critical for Evernorth as it seeks to rebuild investor confidence following a rocky start. While the April 2027 lock-up expiration could serve as a key supply indicator, the actual choices made by shareholders will ultimately dictate the extent of any additional selling pressure on the market.
