Metaplanet’s 52 Billion Yen Bitcoin Plan to Buy Back Shares

Metaplanet Sets Plan for 52 Billion Yen Zero-Interest Convertible Bonds

Metaplanet, a Bitcoin-centric company based in Japan, has announced a major initiative involving the issuance of zero-interest convertible bonds valued at 52 billion yen, approximately $329 million. This financial maneuver aims to restructure the company’s balance sheet and tackle existing secured loans.

Details of the Bond Issuance

The newly proposed bonds are scheduled to mature in 2031. According to a statement from Metaplanet, around 51.9 billion yen from the bond issuance is projected to be net proceeds, with substantial allocations earmarked for repaying Bitcoin-backed loan debts due in November and for the company’s own stock repurchase.

Allocation of Funds

  • Approximately 23.6 billion yen is designated for repaying existing debts.
  • Up to 28.3 billion yen is set aside for repurchasing shares of Metaplanet.

The company has established a conversion price for the bonds at 339 yen per share. Investors will have the option to convert their bonds into shares between november 12, 2026, and October 15, 2031. While these bonds do not offer periodic interest payments, the opportunity to convert them into company shares allows investors to benefit from any future price appreciation.

Share Buyback Strategy

Metaplanet is planning to execute the share buyback through the Tokyo Stock Exchange using the ToSTNeT-3 over-the-counter trading platform. The buyback could potentially encompass up to 7.1% of its total shares, although the actual amount will depend on the number of shares offered for sale.

This move is anticipated to increase the Bitcoin ratio per share by reducing the number of shares available in circulation. However, it is essential to note that the future conversion of the bonds into shares might lead to dilution of existing shareholders’ stakes.

Current Bitcoin Holdings

As of the end of September, Metaplanet reported holding 44,000 BTC. It is important to clarify that the proceeds from the bond issuance will not be utilized for acquiring additional Bitcoin; instead, the funds will strictly address debt repayment and share repurchase initiatives.
